1. Acceptance of Terms & Parties to the Agreement

These Terms and Conditions of Service ("Terms") constitute a legally binding commercial agreement between the entity or individual accessing this platform or commissioning technical services ("Client", "Customer", "you") and ONLINE ADVENTURES LTD, trading as Flowpilot, registered in Scotland under Company Registration Number SC661043 ("Company", "we", "us", "our").

By accessing onlineadventures.co.uk, submitting scoping inquiries, or executing a formal Statement of Work (SOW) with us, you represent and warrant that you possess the full legal authority to enter into these Terms on behalf of your corporate organization.

2. Scope of Technical Services & Delivery Parameters

Flowpilot provides custom enterprise AI automation engineering, intelligent process orchestration, bespoke agent development, systems integration, and technical advisory services. All project deliveries are governed by explicit Statements of Work that specify:

  • Architecture & Scope: Explicitly enumerated data integrations, API bridges, webhook pipelines, or custom machine learning models.
  • Technical Milestones: Measurable deployment checkpoints, staging review periods, and production cutover dates.
  • Client Environment: Deployment parameters, including whether hosting occurs in the Client's dedicated sovereign cloud tenancy (AWS UK, Azure UK, GCP europe-west2) or managed infrastructure.

3. Pricing Transparency, Quotations & Currency

In accordance with Google Merchant Center transparency policies and UK statutory commercial regulations:

  • Base Currency: All quotations, contractual estimates, and storefront invoices are issued and settled in Pound Sterling (GBP, £).
  • Value Added Tax (VAT): Unless explicitly stated otherwise in a formal B2B invoice, commercial prices for UK customers are quoted exclusive of UK VAT, charged at the prevailing statutory rate (standard 20%) where applicable.
  • Price Stability Commitment: Once a Statement of Work is executed by both parties, fees for agreed milestone deliverables are fixed and will not change arbitrarily during the project lifecycle. Any modifications to project scope require a bilateral written Change Order.
  • Payment Terms: Invoices for milestone deliverables or recurring retainer services are subject to 14-day or 30-day settlement terms from the date of invoice issuance, payable via BACS, UK Faster Payments, or corporate debit/credit card.

4. Client Responsibilities & Least-Privilege Access

To ensure timely deployment and security compliance, the Client agrees to:

  • Provide necessary API keys, sandbox credentials, and documentation under the principle of least privilege.
  • Ensure that any proprietary datasets or production schemas provided to Flowpilot do not violate third-party confidentiality agreements or data protection regulations.
  • Conduct timely review and user-acceptance sign-off of milestone deliverables within the agreed evaluation window (typically 5 business days).

5. Intellectual Property & Code Ownership

We operate under a strict, client-first intellectual property framework:

  • Client Deliverables: Upon receipt of full payment for the relevant milestone or project, all bespoke software code, custom agent configurations, specialized prompt sequences, and tailored transformations developed specifically for the Client become the exclusive intellectual property of the Client.
  • Pre-Existing Tools & Methodologies: ONLINE ADVENTURES LTD retains all rights, title, and interest in its proprietary background frameworks, generic utility scripts, and reusable connector modules. Clients receive a perpetual, non-exclusive, royalty-free, worldwide license to utilize such background components as embedded within the delivered automation system.
  • Client Data Sovereignty: At no point does ONLINE ADVENTURES LTD acquire ownership of, or rights to train foundation models upon, any Client proprietary data, business records, or customer records.

6. Service Level Agreements (SLAs) & Operational Warranties

We warrant that all technical services will be executed with reasonable care and skill in accordance with recognized industry standards and the specifications outlined in the governing Statement of Work.

  • Support Inquiry SLA: Technical support tickets submitted via [email protected] or our inquiry terminal are triaged with a guaranteed initial response within 24 business hours (Monday to Friday, 09:00 to 17:00 GMT/BST).
  • Production Retainers: Active enterprise SLA retainers include designated escalation channels with priority 1 (critical outage) response within 15 minutes during covered operational windows.
  • 30-Day Defect Warranty: All custom automation scripts include a 30-day warranty period following production sign-off during which any discrepancies from the agreed SOW specification are remediated at zero additional fee.

7. Limitation of Liability & Disclaimers

Except as provided under mandatory UK statutory law:

  • Neither party shall be liable to the other for indirect, special, incidental, or consequential damages, loss of business revenue, anticipated profits, or business interruption.
  • The total aggregate liability of ONLINE ADVENTURES LTD arising out of or related to these Terms, whether in contract, tort (including negligence), or otherwise, shall be strictly capped at the total amount paid by the Client to ONLINE ADVENTURES LTD under the applicable Statement of Work in the twelve (12) months preceding the claim.
  • Nothing in these Terms shall limit or exclude liability for death or personal injury resulting from negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be limited or excluded under Scots law.

8. Governing Law & Exclusive Jurisdiction

These Terms and Conditions of Service, any associated Statements of Work, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Scotland, United Kingdom.

Each party irrevocably agrees that the competent courts of Scotland shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or in connection with these Terms or the enforcement thereof.

Formal notices regarding these Terms, contract execution, or dispute resolution must be served in writing:
